<p dir="RTL">تعد عقود التنمية التكنولوجية من اهم صور عقود التجارة الدولية ذلك لمساهمتها المباشرة في تحقيق التنمية المستدامة لدى الدول المتلقية لها اضافة الى تدفق لرؤوس الاموال كبيرة جدا من قبل الدول المصدرة للتكنولوجيا اذ تعرف بأنها " المعرفة والخبرات والمهارات الواجب توفرها لصناعة منتج معين. بالإضافة الى المعلومات الفنية الواجب توفرها لإنشاء الوحدات الصناعية اللازمة لهذا الانتاج" ويتم الحصول عليها من خلال عملية نقل التكنولوجيا تتم عبر الية قانونية وهي افراغ الاتفاق بين الطرفين بعقد ينظم هذه العملية وينبغي ان يتضمن هذا الاتفاق وسيلة تكفل للأطراف تسوية منازعات هذه العقود وقد تم مؤخرا ادراج شرط التفاوض بين الاطراف ليكون وسيلة لتسوية المنازعات التي تتولد عن تنفيذ او تفسير عقود التنمية التكنولوجية والذي، يعرف التفاوض (بأنه عملية ديناميكية بالغة الدقة والحساسية تتم بين طرفين يتعاونان على إيجاد حلول مرضية لما بينهما من مشكلات خلافية أو صراع أو تناقص، من أجل تحقيق الاحتياجات والاهتمامات والمصالح المشتركة).</p>
<p dir="RTL">وهذا ما تناولناه في هذا البحث اذ تناولنا مفهوم عقود التنمية التكنولوجية وعلاقتها بالاستثمار، اضافة الى مفهوم التفاوض بوصفه الية لتسوية المنازعات بين الطرفين، والحالات التي تقود الى الاستعانة بوسيلة التفاوض لحسم النزاعات بين الطرفين وقادنا البحث الى وجود صلة مباشرة بين الاستثمار وعقود التنمية التكنولوجية اذ ان الاخيرة تساهم بشكل جاد وفعال في نجاح عمليات الاستثمار ذلك من خلال الاستعانة بالوسائل العلمية في عملية الاستثمار كما ان وجود شرط التفاوض في العقود محل البحث يعطي مرونة وديمومة لحياة العقد اذ تطرا خلال مدة تنفيذه احوال جديدة قد تؤثر بمسيرة تنفيذه لكن ارادة الاطراف تكون حاضرة في ايجاد حلول من شانها التوصل الى حلول مرضية للطرفين تجنبهم الدخول في نزاعات قضائية قد تطول لسنوات عديدة، اضافة الى اهمال من العديد من التشريعات ومنها التشريع العراقي الى ايجاد صيغ خاصة ضمن تشريع خاص ينظم عملية نقل التكنولوجيا من جهة وايجاد وسائل بديلة لتسوية منازعاتها من جهة اخرى ذلك،لان التشريع يخلق حالة من الاطمئنان لدى الطرف الاجنبي او المصدر للتكنلوجيا في حالة ابرام هذا النوع من العقود، وتوصلنا من خلال البحث الى جملة من النتائج والتوصيات.</p>
